Terms of Service

These Terms govern your use of Ideadunes, operated by Niket Gupta from Jaipur, India ("we", "us", "Ideadunes"). By creating an account or using the service, you agree to these Terms.

1. Service overview

Ideadunes is a software-as-a-service scheduling platform. We let you book, schedule, and orchestrate resources, time, and stakeholders. We provide the platform; you decide how to use it.

2. Your account

You must be 18 or older. You are responsible for maintaining account credentials and all activity under your account. Notify us immediately of any unauthorized access at security@ideadunes.com.

3. Acceptable use

You agree not to:

  • Use the service for unlawful purposes or to harm others
  • Send spam, harassment, or unsolicited messages
  • Reverse engineer, scrape, or impose unreasonable load on the platform
  • Resell the service without entering our reseller program
  • Misrepresent your identity or business
  • Process sensitive personal data without proper legal basis

4. Fees and billing

Subscription fees are billed in advance, monthly or annually. Usage fees are billed monthly in arrears. All fees are non-refundable except where required by law. Taxes (GST, VAT, sales tax) are added at checkout based on your billing region.

Failure to pay may result in suspension of service. We will notify you 7 days before suspension.

5. Customer data

You own your customer data. We process it as your data processor under our Data Processing Addendum. We will not sell, rent, or share your customer data with third parties for their own purposes.

Upon termination, you can export all data within 30 days. After 30 days, we will delete your data permanently per our retention policy.

6. Intellectual property

Ideadunes retains all rights to the platform, including software, design, documentation, and trademarks. You retain rights to your content and configurations. The Ideadunes name and logo are trademarks of Niket Gupta and cannot be used without permission.

7. Service level agreement

Our uptime commitment varies by plan as defined in our Service Level Agreement. Service credits are your sole remedy for downtime.

8. Termination

You may cancel at any time from your account settings. We may terminate for cause (non-payment, ToS violation) with notice. We may terminate for convenience with 90 days' notice.

9. Limitation of liability

To the maximum extent permitted by law, our total liability is limited to fees paid in the 12 months preceding the claim. We are not liable for indirect, consequential, or punitive damages. Some jurisdictions don't allow these limits — they may not apply to you.

10. Indemnification

You will indemnify us against claims arising from your misuse of the service, your content, or your violation of these Terms. We will indemnify you against IP claims that the platform itself infringes a third party's rights.

11. Governing law and disputes

These Terms are governed by the laws of India. Disputes will first go to good-faith negotiation, then to mediation in Jaipur, then to binding arbitration under the Indian Arbitration Act, with seat in Jaipur. Enterprise customers may negotiate alternate jurisdiction in their MSA.

12. Changes to these terms

We may update these Terms with 30 days' notice. Material changes will be emailed. Continued use after changes means you accept the new Terms. The previous version is available on request.
